This document (referred to hereinafter as the "Terms") has been issued in compliance with the applicable law by STNL MEDIA INVEST LIMITED, a company registered at: 7 Florinis Street, Greg Tower, 2nd Floor PC 1065 Nicosia, Cyprus, with registration number: ΗΕ387553 (hereinafter referred to as the “Company”). These Terms outline the conditions under which the Users (as defined below) agree to engage with the Company as detailed herein.
1. INTERPRETATION
1.1. Within these Terms and the associated legal relationships, the following definitions apply:
· Website: The online resource foot-africa.com, encompassing its domain name, applications, sections, web pages (collectively referred to as “Pages”), content, along with the software, hardware, and databases that facilitate access to this information via the Internet at https://foot-africa.com. This definition also includes the Website's mobile version, mobile applications, and other products offered by Foot Africa, as well as third-party services and data accessible on the Website.
· User: An individual who agrees to these Terms either for personal purposes or as a representative acting on behalf of a legal entity.
· Services: The suite of services made available to the User through the Website.
· Use of the Services: Any engagement with the Website’s functionality, such as browsing materials, registering or logging in, and uploading or displaying content on the Website (e.g., texts, hyperlinks, images, audio or video files, information, and other data).
1.2. By using the Services, the User acknowledges and agrees to these Terms in accordance with the applicable law.
2. GENERAL TERMS
2.1. By accessing and utilizing the Services, the User confirms the following:
· The User has reviewed and agreed to these Terms in their entirety prior to engaging with the Services.
· The User fully accepts and commits to adhering to all provisions of these Terms. Should the User disagree with any of the Terms or lack the authority to accept them, they must discontinue use of the Services immediately.
· The Company reserves the right to amend these Terms (or portions thereof) at its sole discretion, without prior notice. The revised Terms shall take effect upon being published on the Website. Continued use of the Services after such modifications indicates the User’s consent to the updated Terms. Should the User object to any changes, they must cease using the Services.
2.2. These Terms extend to interactions involving the rights and interests of third parties who are not the Users of the Website but whose rights or interests may be impacted by actions undertaken by the Users.

3. USER AUTHORIZATION

3.6. If the User loses access to their account, the Company may assist in restoring access by resetting the password and sending a new one to the email address provided during registration.
3.7. Materials posted by the User and activities performed using the Services are subject to post-moderation. Moderators review materials after they are uploaded, and any content found to violate these Terms or the applicable law will be removed.
3.8. At the request of authorized authorities and in compliance with legal requirements, the Company is entitled to provide such bodies with User information, including personal data.
4. MATERIALS USAGE
4.1. The Website features materials protected by copyright, trademarks, and other intellectual property rights, including text, photographs, videos, graphics, music, and sound recordings.
4.2. The Users access and utilize materials provided through the Website's Services at their own discretion and risk. They bear full responsibility for any damage to their devices or data resulting from the download or use of these materials.
4.3. All content on the Website is copyrighted as a collective work created collaboratively under the applicable law.
4.4. The rules outlined in this section safeguard the rights and interests of the Company as well as third parties who own the intellectual property available on the Website.

5.2. By submitting materials to the Website for public access, the User automatically provides the Company (or confirms that the rightful owner has provided the Company) with a free, perpetual, irrevocable, and non-exclusive license to use, reproduce, modify, edit, publish, translate, and distribute these materials (in whole or in part) worldwide. This license includes the right to integrate the materials into other works in any format using existing or future media and technology, for the entire duration of copyright protection under the applicable law. The Company is also granted the right to modify, delete, copy, publish, and distribute the User’s submitted materials.
5.3. The Users agree that the Company may place advertisements or promotional content, such as banners, on Pages containing User-submitted materials and may modify these materials for advertising purposes.
5.4. Unless explicitly stated otherwise, the intellectual property and personal rights to submitted materials remain with the User who uploaded them. The Users are reminded of their responsibility for the unauthorized use of materials belonging to third parties or materials they lack permission to share, as stipulated by the applicable law.
5.5. Materials posted by the User must include the pseudonym (nickname) specified during their registration on the Website.
5.6. Materials uploaded to the Website must not include:
· Content that is illegal, offensive to morality, defamatory, or infringes on the rights, dignity, or legal interests of others; promotes hatred or discrimination based on race, ethnicity, gender, or social status; incites religious, racial, or ethnic discord; or depicts violence or cruelty to animals.
· Restrictions or violations of minority rights.
· Impersonations of other individuals or representatives of organizations without proper authority, including misrepresentation of the Company or other subjects/objects.
· Content the User is not legally authorized to share due to laws or contractual obligations.
· Content that infringes on patents, trademarks, trade secrets, copyrights, or other intellectual property rights.
· Spam, unsolicited advertisements, pyramid schemes, or coercive marketing.
· Code or tools intended to disrupt, damage, or limit the functionality of computers, telecommunications systems, or other software; as well as unauthorized codes for accessing paid resources.
· Actions violating local, national, or international laws, whether intentional or accidental.
· The collection and storage of other Users' personal data.
· Unauthorized transmission of promotional or commercial content.
· Content promoting illegal substances.
· Offensive or abusive statements.
· Pornographic material.
5.7. The Company reserves the right to refuse publication, modify, or delete User-posted materials at its sole discretion, especially if they violate clause 5.6 or other legal requirements. Such actions may be taken with or without prior notice, and the Company is not liable for any resulting harm to the User.
5.8. The Users are prohibited from creating multiple accounts. Violation of this rule may result in the immediate suspension or deletion of the accounts without warning.
5.9. The Users acknowledge full responsibility for all materials they make publicly available on the Website, including any associated data, text, media, or other content.
5.10. The Company assumes no responsibility for the legality, compliance, or intellectual property rights of the materials posted by the Users. The Users are obligated to independently resolve, at their own expense, any claims brought by third parties regarding their uploaded materials.
5.11. The Company will notify the Users of any third-party claims concerning their posted materials. Users must either grant the Company the necessary rights to publish the material or remove it from the Website.
5.12. Rights holders may request the removal of materials by demonstrating their ownership to the Company. Upon verification, the material will be removed from public access immediately, without notifying the User or providing further explanation.
6. DISCLAIMER/EXCLUSION OF WARRANTIES
6.1. The Company commits to maintaining the stable functionality of the Website but bears no responsibility for the partial or complete loss of materials uploaded by the Users or for any deficiencies in the quality or performance of the Services provided.
6.2. The Company makes no assurances that the Services offered through the Website will fully align with Users’ expectations, operate without interruptions, deliver consistent reliability and speed, or function entirely error-free. Additionally, the Company does not guarantee the accuracy or reliability of outcomes derived from the use of the Services.
7. ACCOUNT SUSPENSION AND REACTIVATION
7.1. The User acknowledges that the Company retains the right to restrict access to the Website at any time, without prior notice or explanation, under the following circumstances:
· Breach of the Terms and/or any other applicable legal agreements;
· At the request of governmental authorities in accordance with the applicable law;
· If the Company determines that such action is necessary to ensure the proper functioning of the Website;
· For any other reason, at the Company’s sole discretion.
7.2. The User may request their account on the Website to be deactivated, resulting in a temporary suspension while retaining the User’s data in the Website’s database. To initiate this process, the User must submit a request to the support team using the email address associated with their registration.
7.3. To reactivate access to the account, the User must contact the support team and request activation using the same email address provided during registration.
8. SERVICESS OF THIRD PARTIES
8.1. The Website may include links to external websites, such as those of partners, advertisers, or clients of the Company. These external websites operate independently and are not managed or monitored by the Company. The Company assumes no responsibility for the content of these third-party websites or for any potential losses, damages, or risks the Users may incur while accessing them. The Users access such websites at their own discretion and risk. Any third party wishing to establish a hyperlink to the Website must inform the Company in advance. The Company reserves the right to refuse such requests. If permission is granted, the Company is under no obligation to create reciprocal links to the third-party website.
9. OTHER INFORMATION
9.1. The Company disclaims responsibility for the following:
· Actions performed by the Users on the Website;
· Information accessed or obtained by the Users through the Website and/or Services;
· Any losses or missed profits incurred by the User due to the use or inability to use the Website and/or Services;
· The accuracy of advertisements or the quality of advertised products/Services;
· Damage to the User’s software or hardware caused by interaction with the Website and/or Services.
9.2. Any disputes arising from the execution of these Terms shall be resolved in accordance with the applicable law.
9.3. These Terms shall not be interpreted as creating agency, partnership, joint venture, employment, or any other legal relationship between the User and the Company, unless expressly stated within these Terms.
9.4. The Users who believe that their rights or interests have been infringed upon by the actions of the Company or third parties related to materials posted on the Website may file a formal complaint with the Website’s support team.
9.5. Should regulatory changes introduced by the authorities of applicable legislation impact the functionality of the Website or Services, the Company reserves the right to modify the Services operation to ensure compliance with such regulations.
9.6. In the event of discrepancies between the English, French, and Arabic versions of these Terms, the English version shall take precedence.
